Terms of Service
These terms govern your access to NearVance and establish the responsibilities that keep connected business information, AI assistance, and publishing workflows safe and trustworthy.

01Agreement and eligibility
These Terms of Service (“Terms”) are an agreement between you and Marketania, the operator of NearVance (“NearVance,” “we,” “us,” or “our”). By creating an account, accepting an invitation, or using NearVance, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old and able to enter into a binding agreement. If you use NearVance for a company or another organization, you represent that you have authority to bind that organization. “You” includes both you and that organization.
02Accounts, workspaces, and authority
You must provide accurate account information, protect your login credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account unless caused by NearVance’s breach of these Terms.
Workspace owners control membership, roles, connected locations, and approvals. You may connect or manage a business only when you have the business owner’s authorization and the rights required by each connected platform. You must remove access promptly when that authority ends.
03Connected services and Google Business Profile
NearVance can connect to third-party services such as Google Business Profile. When you connect a service, you authorize NearVance to access and use permitted data and perform the actions you request or expressly automate. You do not give NearVance ownership of your connected accounts.
Your use of a connected service remains subject to that provider’s terms and policies. Providers may change, limit, suspend, or discontinue APIs and features. NearVance is not responsible for a provider’s service, decisions, suspensions, ranking systems, or data accuracy. You may disconnect a provider at any time, but features that depend on it will stop working.
You must not use NearVance to create fake locations, misrepresent a business, manipulate reviews, publish prohibited content, or violate Google Business Profile policies or other connected-platform rules.
04AI assistance and automation
NearVance uses artificial intelligence to produce drafts, recommendations, classifications, scores, summaries, and other assistance. AI output can be inaccurate, incomplete, or unsuitable. It is not legal, financial, medical, or other professional advice, and it does not guarantee rankings, revenue, leads, or any other result.
You are responsible for reviewing content and business information before publication. Where NearVance offers automatic publishing or replies, automation is disabled until an authorized user affirmatively enables it. You remain responsible for monitoring enabled automations and may pause or disable them.
NearVance will require approval for sensitive profile changes when indicated in the product, including material changes to a business name, address, phone number, website, primary category, relocation status, or closure status.
05Trials, subscriptions, and payment
NearVance may offer a limited activation trial. Unless the offer states otherwise, the trial ends after 14 days or after two successfully published Google posts and two successfully published review replies, whichever applicable limit is reached first. Trial availability and limits may be changed to prevent abuse.
Paid subscriptions are billed in advance at the price and interval shown at checkout. Taxes may apply. Subscriptions renew automatically unless canceled before renewal. You authorize our payment processor to charge the payment method on file. You may cancel through the billing portal; cancellation takes effect at the end of the current paid period unless otherwise required by law.
Fees are non-refundable except where the checkout terms or applicable law provide otherwise. We may change pricing or plan limits with advance notice applicable to a future renewal. Failure to pay may result in downgraded, suspended, or terminated access.
06Acceptable use
You may not use NearVance to:
- break the law, infringe rights, deceive consumers, or impersonate others;
- access or manage a business without authorization;
- publish illegal, abusive, defamatory, fraudulent, or misleading material;
- buy, fabricate, suppress, or improperly influence reviews;
- evade usage limits, probe security, introduce malware, or disrupt the service;
- scrape, reverse engineer, or copy the service except where law permits;
- resell or sublicense NearVance unless your plan or agreement permits it; or
- use output to make prohibited high-impact decisions about individuals.
We may investigate suspected misuse and limit or suspend activity when reasonably necessary to protect users, providers, NearVance, or the public.
07Your content and feedback
You retain ownership of content and business information you provide. You grant NearVance a limited, worldwide, non-exclusive license to host, process, reproduce, modify, transmit, and display that content only as needed to provide, secure, and support the service and carry out your instructions.
You represent that you have the rights needed for content you submit and that its use through NearVance will not violate law or another person’s rights. If you provide feedback, you allow us to use it without restriction or compensation, provided we do not publicly identify you without permission.
08NearVance property
NearVance and its licensors own the service, software, designs, documentation, trademarks, and related intellectual property, excluding your content and third-party materials. Subject to these Terms and your plan, we give you a limited, non-exclusive, non-transferable, revocable right to use the service for your internal business purposes during the subscription or trial period.
09Privacy and data
Our Privacy Policy explains how we handle personal information and Google user data. You are responsible for providing any notices and obtaining any permissions required for information you place in NearVance, including information about customers, employees, or client businesses.
10Availability and changes
We work to keep NearVance reliable but do not promise uninterrupted or error-free operation. Maintenance, security incidents, third-party outages, provider review, API limits, and events outside our control may affect availability.
We may add, modify, or discontinue features. If a change materially reduces the core functionality of a paid plan, we will provide reasonable notice when practicable. Beta, preview, or partner-dependent features may change or end without notice and may have additional terms.
11Disclaimers and limitation of liability
To the maximum extent permitted by law, NearVance is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. We do not guarantee platform approval, profile visibility, search ranking, customer response, or business results.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, goodwill, or data. NearVance’s total liability arising from the service will not exceed the greater of US $100 or the fees you paid to NearVance during the 12 months before the event giving rise to the claim. These limitations do not apply where prohibited by law or to liability that cannot legally be limited.
12Indemnification
To the extent permitted by law, you will defend and indemnify NearVance and its personnel against third-party claims arising from your content, your connected accounts, your violation of these Terms or law, or your use of the service without required authority. This obligation does not apply to the extent a claim results from NearVance’s breach of these Terms.
13Suspension and termination
You may stop using NearVance or cancel your subscription at any time. We may suspend or terminate access for material breach, nonpayment, security risk, unlawful use, provider-policy violations, or conduct that could harm users or the service. Where appropriate, we will give notice and a reasonable opportunity to cure.
After termination, your right to use the service ends. We will handle stored data as described in the Privacy Policy. Terms that by their nature should survive—including payment obligations, ownership, disclaimers, liability limits, and indemnification— will survive.
14General terms
These Terms and the policies incorporated into them are the complete agreement about NearVance unless you have a separate written agreement with us. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a term is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganization, financing, or sale of the service.
These Terms are governed by the laws applicable where Marketania is established, without regard to conflict-of-law rules, except where mandatory local law applies. Before filing a formal claim, please contact us and allow 30 days to try to resolve it informally.
15Changes and contact
We may update these Terms. We will post the updated version and revise the date above. We will provide additional notice before material changes take effect when required. Continued use after the effective date means you accept the updated Terms.
